Linkko Technology Pte Ltd ("Linkko") operates an advertising platform that facilitates the display of advertisements to users based on on-chain targeting. By utilizing Linkko's services, advertisers agree to comply with the following Terms and Conditions.

These Terms and Conditions outline the rights, responsibilities, and obligations of advertisers using Linkko's advertising platform within the legal framework of Singapore.
1.3 Linkko Obligations
Linkko is committed to providing advertisers with a reliable and effective advertising platform. Linkko undertakes to deliver campaigns in accordance with agreed-upon terms and to uphold standards that ensure the quality and performance of the advertising service.

2.1 Campaign Setup and Budget Deployment
Upon mutual agreement between Linkko and the advertiser, Linkko will deploy the budget specified for the advertising campaign. The extent and reach of the campaign are intricately tied to the targeting options selected by the advertiser. The precision of the targeting options will significantly influence the campaign's effectiveness and reach. Deployment will commence upon confirmation of payment or an established payment arrangement.
2.2 Targeting Options and Web 3 Analytics
Linkko provides advertisers with a diverse set of targeting options utilizing advanced web 3 analytics. Advertisers can fine-tune their audience selection based on factors such as net worth, transaction history, token ownership, profiling tags, and geography. This precision in targeting aims to enhance the relevance and effectiveness of the advertising campaign.
2.3 Ad Exposure and User Rewards
Users engaging with the advertisements will be eligible to receive 50% of the advertising revenue, contingent on their commitment to claiming the associated rewards. Claiming is defined as the targeted user opening the ad, watching a minimum of 10 seconds, and manually initiating the reward claim process. Advertisers will be charged only for completed views, aligning the cost with genuine user engagement.
2.4 Campaign Duration and Factors Affecting Duration
The duration of an advertising campaign is influenced by several factors, including the allocated budget, the specificity of the targeted audience, and the rate at which users consume the budget. A well-defined target audience, combined with an ample budget, may extend the campaign's duration, while a more targeted approach with a limited budget may result in a shorter campaign timeframe. Any adjustments to the campaign duration will be communicated and agreed upon by both parties.
3.1 Criteria for User Rewards
Users are eligible for rewards when they meet the criteria of watching at least 10 seconds of the ads. This criterion ensures advertiser charges are tied to user engagement. Additionally, users must possess a wallet with a minimum history of activity, a specified volume of transactions, and a predetermined worth to be considered as valid. Users will be rewarded when they watch the advertising message chosen by the advertisers for at least 10 seconds.
3.2 Reward Distribution and Calculation
Linkko will distribute rewards to users based on a predetermined calculation. Advertisers will receive detailed reports on reward distribution. Linkko reserves the right to choose which token will be used for rewarding the users. The selection of the token will be made at Linkko's discretion, and advertisers will be informed of the chosen token for reward distribution in their campaign reports.
4.1 Bugdet consumption
The allocation of budget and management of exposure to matching users will adhere strictly to the framework of completed views within the campaign. Advertisers are billed solely for completed views, defined as instances where users have watched a minimum of 10 seconds of the advertisement and subsequently claimed the associated rewards. This billing structure ensures that charges are contingent upon genuine user engagement.
Budget completion, in the context of this agreement, is defined as the point at which users have successfully claimed all rewards associated with completed views.
Advertisers will have access upon request to detailed reports, providing a transparent account of the campaign's progress and the corresponding budget utilization.
4.2 Frequency and Exposure to Matching Users
Matching users may be strategically exposed multiple times to the same campaign message, providing advertisers with the opportunity to reinforce their brand or message. However, unless explicitly excluded by the advertiser, this repetition will be judiciously managed by Linkko to avoid user fatigue and ensure a positive user experience.
Advertisers have the option to set exclusions to control the frequency of exposure to their campaign for specific users. These exclusions may be based on predetermined criteria specified by the advertiser, such as limiting the number of times a user sees a particular campaign within a defined time period. Advertisers should communicate any specific exclusion preferences to Linkko during the campaign setup process.
5.1 Refund Eligibility Criteria
Refunds are not applicable once users have completed the views and reward has been granted. Requests to terminate a campaign with remaining budget are contingent upon Linkko's approval.
5.2 Refund Process and Approval
To seek early termination of a campaign, advertisers must submit a formal request providing substantiated reasons for the termination. Valid reasons may include but are not limited to changes in governmental crypto regulations, instances of bankruptcy, or unforeseen circumstances beyond the advertiser's control. Advertisers understand and acknowledge that the approval of such requests rests solely with Linkko unless formally agreed prior to the campaign launch.
Advertisers are encouraged to communicate unforeseen circumstances promptly to facilitate a judicious review of the termination request.
6.1 Compliance with Law
Advertisers are obligated to ensure strict adherence to all relevant laws and regulations, including those promulgated by the authorities in Singapore. Linkko explicitly disclaims any responsibility for legal consequences arising from the non-compliance of advertisers with the aforementioned laws. Advertisers bear sole liability for ensuring that their advertising activities align with International laws.
6.2 Content Guidelines and Restrictions
Advertisers are required to adhere to the content guidelines set forth by the target market chosen for ad distribution. Compliance with these guidelines is essential to maintain the integrity of the advertising platform. Any content that violates these guidelines may be subject to rejection or removal at the discretion of Linkko. Advertisers are further advised to stay apprised of and comply with additional content guidelines relevant to their chosen target markets, as failure to do so may result in adverse consequences.
6.3 Reporting and Communication Obligations
Effective communication between advertisers and Linkko is fundamental to the successful management of advertising campaigns. Advertisers are obligated to promptly report any issues, concerns, or discrepancies related to their campaigns to Linkko's designated contact points.
7.1 Ownership of Advertiser Content
Advertisers unequivocally retain full ownership of the content they furnish for advertising purposes. Linkko asserts no claim to ownership over the provided content, and advertisers retain exclusive rights to their intellectual property. This ownership extends to the content in its entirety, encompassing but not limited to images, text, and any other materials submitted for advertising on the Linkko platform.
7.2 License to Use Advertiser Content
By providing content for advertising on the Linkko platform, advertisers grant Linkko a limited, non-exclusive license to use, reproduce, and display the provided content exclusively for the purpose of advertising on the platform. This license includes the right to modify the format or presentation of the content as necessary for optimal display within the platform. The license is restricted to the duration of the advertising campaign and is automatically terminated upon the conclusion of the campaign, after which Linkko no longer maintains any rights to use or display the advertiser's content.
8.1 Advertiser's Offer and User Expectations
Linkko assumes no liability if offers and terms presented in advertisements do not align with the expectations of users. Advertisers acknowledge that user expectations may vary, and Linkko is not accountable for any disparities between user expectations and the content presented in advertisements on the platform.
8.2 Liability for Advertiser's Content
Linkko shall not be held liable if an advertiser's ad messages or content infringe upon the policies and regulations of any country. Advertisers bear sole responsibility for ensuring that their content complies with applicable laws and regulations, and Linkko assumes no liability for any legal repercussions arising from non-compliance.
9.1 Termination by Advertiser
Advertisers retain the right to terminate this agreement by providing written notice to Linkko, subject to any ongoing obligations specified within this agreement. Termination will be effective upon the expiration of a reasonable notice period, as agreed upon by both parties.
9.2 Termination by Linkko Technology Pte Ltd
Linkko reserves the unilateral right to terminate this agreement with any advertiser for violations of these Terms and Conditions or for reasons deemed appropriate by Linkko. Termination by Linkko will be communicated to the advertiser in writing, specifying the grounds for termination and the effective date thereof.
10.1 Governing Law and Jurisdiction
These Terms and Conditions are governed by the laws of Singapore. Any disputes arising out of or in connection with these Terms and Conditions will be resolved through arbitration in Singapore, in accordance with the rules of a recognized arbitration institution.
10.2 Amendments to Terms and Conditions
Linkko retains the right to amend these Terms and Conditions with prior notice to advertisers. Notice of amendments will be communicated through the platform or via other designated communication channels. Advertisers are encouraged to review updated terms promptly to ensure continued compliance.
10.3 Severability
If any provision of these Terms and Conditions is found to be invalid or unenforceable, the remaining provisions will continue to be valid and enforceable to the fullest extent permitted by law. The parties agree to replace the invalid or unenforceable provision with a valid and enforceable provision that most closely aligns with the intent and purpose of the original provision.
10.4 Entire Agreement
These Terms and Conditions constitute the entire agreement between advertisers and Linkko. However, in the event that specific terms have been explicitly agreed upon between Linkko and an advertiser, in a separate written agreement, those specific terms shall take precedence over conflicting terms outlined in these general Terms and Conditions.
